Document Landscape


The Church Point Homeowners Association is a legal entity under the law (a Nonstock Corporation) and as such is governed by applicable laws and a key set of documents:

  • First of all, there are the Code of Virginia – Nonstock Corporation Act and the Code of Virginia – Property Owners’ Act under which the HOA is incorporated. The first act applies to all nonstock corporations in the State of Virginia and the second applies to all HOAs in Virginia. Both are depicted in purple in the diagram above.
  • Secondly, there are the Church Point HOA Governing Documents (depicted in red above) that only apply to our HOA. For direct access, please see Articles of Incorporation, Bylaws, Declaration of Restrictions. These documents can only be amended by two-thirds of the members present, in person, by proxy or by absentee ballot, at a meeting duly convened for the purpose of voting on the amendment.
  • Thirdly, there are the Board level document (depicted in green above). These documents are created by the board and amplify the Governing Documents. They can however not override or change the Governing Documents. The Rules and Regulations amplify the Declaration of Restrictions and Board Resolutions amplify the Bylaws (e.g. to establish committees and processes).
  • And lastly, there are a lot of federal, state and local laws, regulations, codes and ordinances (depicted in black above). These are too numerous to mention here but think of traffic laws, building codes and noise ordinances as examples. HOAs don’t live in a vacuum so all these laws and rules must also be obeyed.
